While overseeing one of the largest real estate practice groups in New York City, Ms. Adler has developed a wide range of expertise in all areas of national and international real estate practice including acquisitions, development, dispositions, financings, subdivisions, ground leasing, secondaries, distress situations, and workouts.  In addition, Ms. Adler has developed a particular expertise in structuring and negotiating complicated joint ventures relating to such transactions.

As a result of her extensive experience, Ms. Adler is able to address not only the real estate aspects of a particular transaction, but also the unique needs of clients in their national and international transactions and relationships.  Ms. Adler has assisted clients in understanding the laws and regulations of foreign countries and assisted those clients in opening offices in Singapore, India, and Japan, and conducting transactions in various foreign countries including China, Singapore, Hong Kong, Japan, India, and Taiwan (including the structuring of such investments through holding companies in the Netherlands, Barbados, Mauritius, and other countries).

Ms. Adler is consistently named as one of New York's Super Lawyers in real estate and as one of the Top 50 Women Attorneys in New York. Additionally, Ms. Adler was elected to The Commercial Observer’s Power 100 Reader’s Poll (along with her partner, Bruce Stachenfeld).  The list marked the first time that The Commercial Observer allowed the public to vote for the most powerful people in New York real estate.Ms. Adler is admitted to practice in New York.  

Representative Transactions:

  • Angelo, Gordon & Co. – Carlton House: This 2011/2012/2013 transaction involved the adaptive re-use of the former Carlton Hotel at 680 Madison Avenue into a mixed-use residential and retail complex.  The Firm represented a joint venture comprised of affiliates of Angelo Gordon & Co. and Extell Development in the purchase and redevelopment of the project, the restructuring of the ground lease position, in the complex multi-tranche financing and refinancing, and, finally, in the sale of a portion of the retail space through a synthetic bifurcation of the ground lease between the retail and residential component of the building.

  • Young, Woo & Associates – 375 Pearl Street:  This project involved the acquisition of the principal condominium interest at 375 Pearl Street in lower Manhattan to be converted to approximately 1,000,000 square feet of data center use.

  • Angelo, Gordon & Co. – Chelsea Market: The project commenced with the acquisition of the Chelsea Market property by our client in 1998 and ended with the sale of our client’s remaining ownership interests in 2011.  During this time, we represented our client in connection with the acquisition, financing, redevelopment and eventual disposition of the property as a media and specialty-food destination, which played a significant role in turning the meatpacking district into the vibrant destination that it is today. 

  • NorthStar Realty Finance Corp. – Manufactured Housing Portfolio: Representation of our client in its equity investment in a joint venture which acquired multiple manufactured housing communities located across several states.

  • Halpern Strategic Ventures, LLC – Astrum: Representation of Halpern Strategic Ventures, LLC and other co-investors in connection with their investment in Astrum India Investments Ltd., a company incorporated under the laws of the Republic of Mauritius, which was set up to make direct or indirect investments in an Indian entity to be engaged in the development of real estate projects in India, and all other related activities and transactions.
