Specializing in representation of businesses, Jacob has navigated numerous debt and equity finance transactions, corporate acquisitions and divestitures, project finance transactions, landlord-tenant matters, commercial bankruptcies, and matters involving the formation, operation, and liquidation of virtually every type of business entity.

When the need arises, Jacob also conducts an extensive business litigation and arbitration practice, representing clients with respect to such matters as securities litigation, partnership litigation, fiduciary litigation, derivative suits, contract disputes, employment disputes, intellectual property and trade secret disputes, and administratively before state and federal regulators, including the Texas Comptroller of Public Accounts, the Office of Consumer Credit Commissioner, the Office of the Inspector General, and the Internal Revenue Service.

Jacob has been featured as a “Rising Star” in business and corporate law in Texas Monthly and Texas Super Lawyers Magazine in 2015, 2016, and 2017.  He is a member of the American Bar Association, the New York State Bar Association, the Dallas Bar Association, the Texas Young Lawyers Association, and the Dallas Association of Young Lawyers, and is a 2009 alumnus of DAYL’s Leadership Class.  

Jacob earned an MBA in finance, with honors, from Texas Tech University in 2005, and a Juris Doctor from Southern Methodist University in 2008, where he served as a member of the Student Bar Association’s Executive Committee and as a liaison to the Publications Committee of the Dallas Bar Association.  He is licensed in Texas and New York, and is admitted to practice before the United States District Courts for the Northern District of Texas, Eastern District of Texas, and Eastern District of New York.

RECENT CLIENT MATTERS

Successfully neutralized, without litigation, a series of orchestrated attempts by majority owners of an LLC to squeeze out a minority owner in connection with a $50 million acquisition of the company.

Secured a final take-nothing summary judgment in favor of a clean energy technology manufacturer, disposing of claims brought by a convertible note holder alleging breach of contract and securities violations, and seeking $1.2 million in damages and attorney’s fees.

Sole counsel to an investment firm with respect to an $85 million purchase of all outstanding preferred shares in a privately held global accounting firm, in a transaction that was structured over an 18-month period and included interrelated membership purchase agreements, a $50 million secured project finance deal, operating agreements governing the target firm’s multi-tiered corporate structure, and a $300 million credit facility agreement issued to the target firm by a consortium of lenders.

Successfully represented a custom prosthetics manufacturer with respect to a series of audits of its Medicaid billing practices, conducted by the Office of the Inspector General in several offices throughout the state.
