May Lu serves the transactional needs of businesses and their owners by assisting them with business formations of limited liability companies and corporations, mergers and acquisitions, reorganizations (such as conversions and domestications), recapitalizations, succession and exit planning strategies, general business planning, joint venture agreement, owner agreements such as operating agreements, buy-sell agreements, and shareholder agreements, and other commercial agreements.  She also provides guidance to businesses concerning business divorce, disputes among owners, and related fiduciary duties.  In addition, May assists clients with regulatory and governance issues related to the U.S. Small Business Administration and other federal, state, and local programs.

May was recognized in the 2024 edition of The Best Lawyers in America® for her work in Mergers and Acquisitions Law, Corporate Law, Closely Held Companies and Family Businesses Law, Business Organizations (including LLCs and Partnerships), and Corporate Governance Law.  She has been recognized since the 2021 edition of The Best Lawyers in America® for her work in Corporate Law.  She also has been recognized since 2024 as a Southwest Super Lawyers and from 2012-2022 as a Super Lawyers Southwest Rising Star, as well as in 2023 and 2024 by Az Business Leaders and the PHOENIX Magazine in the area of mergers and acquisitions.  She is actively involved with the Short Form Model Acquisitions Agreement Joint Task Force of the Mergers & Acquisitions and Middle Market and Small Business (“MMSB”) Committees of the American Bar Association’s Business Law Section.  She is Vice Chair of the MMSB Committee.  In addition, May recently agreed to be a successor co-author of Arizona Limited Liability Company Forms and Practice Manual.

May’s commitment to giving back to the community includes her involvement with the Arizona State University Sandra Day O’Connor College of Law’s Business Legal Assistance Program, for which she was awarded the 2011 Outstanding Volunteer Lawyer.  She is the past chair of the Selection Panel for the Bar Leadership Institute sponsored by the State Bar of Arizona, of which she is an alumna.  May was the President of ACLU of Arizona, which included a 9-year tenure as a member of its Board of Directors. Additionally, after serving as the President of the Arizona Asian American Bar Association, she is completing her final term as a member of the Board of Directors.

Upon graduation from the University of Arizona James E. Rogers College of Law, May served as a Law Clerk for the Honorable Lawrence F. Winthrop, of the Arizona Court of Appeals, Division One.  While in law school, May was an Intern Prosecutor for the Pima County Attorney's Office and a Law Clerk for the Arizona Superior Court in Pima County.  May was also a Managing Editor of the Arizona Journal of International and Comparative Law.

Prior to law school, May's interest in assisting businesses motivated her to attend Arizona State University and its Barrett Honors College on a National Merit Scholarship to study economics, international business, and Spanish.
