Michael M.K. Sebree

Michael M.K. Sebree is a partner at Donahue Fitzgerald LLP, located in Walnut Creek, California, where he advises businesses on a broad range of corporate, transactional and legal matters. He also serves as outside general counsel to numerous local and regional companies, providing ongoing guidance to help business leaders navigate complex legal decisions, manage risk and advance their commercial objectives.

Mr. Sebree works closely with clients across a broad spectrum of industries, offering counsel on business transactions, corporate operations and long-term planning. His work includes advising on mergers and acquisitions, entity formation, contract review, negotiation and preparation of business agreements, private placements, venture capital, and private equity matters. He also counsels businesses on corporate governance, trade secret protection, nonsolicitation agreements, business succession and tax planning. Through his outside general counsel role, he helps clients address day-to-day legal concerns while preparing for significant transactions and future growth.

A consummate professional, Mr. Sebree has represented clients in substantial business transactions, including representing the seller in a $361 million stock sale to Del Monte. He also represented the seller, Mighty Net, in the sale of substantially all its assets, including the online credit monitoring services CreditReport.com and CreditScore.com, to Experian, a U.K.-based publicly traded credit bureau. The transaction involved a purchase price of $207.5 million. These matters reflect his experience guiding businesses through significant transactions and complex commercial negotiations.

Mr. Sebree obtained his bachelor’s degree from the California Polytechnic State University before receiving his Juris Doctor from the University of Washington School of Law. Admitted to practice law in California in 1989, he is also admitted before the U.S. Court of Appeals for the 9th Circuit and the U.S. District Courts for the Eastern, Northern and Southern Districts of California.

Mr. Sebree maintains active involvement in the legal profession through memberships in the Alameda County Bar Association, San Francisco Intellectual Property Law Association, California Society for Healthcare Attorneys, American Health Law Association and American Bar Association.
