Randy Gullickson focuses his complex business litigation practice on resolving shareholder and ownership disputes in closely held corporations, partnerships, and limited liability companies.

Because of his significant litigation successes in these areas, Randy also has extensive experience advising businesses and their officers, directors and shareholders on matters of corporate governance and related legal and business issues in an effort to avoid litigation.

Active in state and federal courts and in arbitration proceedings in Minnesota and throughout the country, Randy also represents clients in a broad range of other types of business disputes, including business valuation proceedings, banking matters, contract disputes, financial fraud, unfair competition claims, and employment matters.

As a result of his experience in business valuation matters, Randy served as a member of the Valuation Credentialing Board of the National Association of Certified Valuators and Analysts (NACVA), which provides business valuation training and certification to thousands of CPAs and other valuation professionals, from 2017 - 2020. Randy has lectured and written on topics involving shareholder rights, corporate governance, and business valuation issues. He has repeatedly been recognized by his peers and legal publications for his talent and results. 

Randy was a 2022 Attorney of the Year Honoree in recognition for his work on the trial team that won the landmark case Jim Koch v. SKT/Koch Trucking, Randy Koch and Dave Koch in which his client received a total award of nearly $75 million, the largest total award in Minnesota history to a minority shareholder seeking damages and a court ordered “fair value” buy-out of their ownership in a Minnesota closely held company.

  • $130 Million Verdict: Along with Joseph Anthony, obtained verdict of over $130 million in a breach of contract and fiduciary duty case for the firm’s client, PDG P.A., following a month-long jury trial in Hennepin County District Court, 2007

  • Shareholder Claim Defense. Successful defense and dismissal of shareholder claim against majority owner of restaurant business, 2011
  • Damages on Sale of Business.  In an American Arbitration Association proceeding brought on behalf of a seller of a northern Minnesota resort, a claim for damages under the sales contract  when the buyer subsequently sold the business without making required payments under a portion of the agreement under which the parties were to share future sales proceeds.  The opposing party tendered $11,200.  Prior to the arbitration hearing, Randy successfully settled the case for $360,000., 2017
  • Shareholder Litigation.  Recovered $8.4 million on behalf of owner of marketing and distribution company through negotiated settlement of litigation that arose after the client was forced out of the company., 2018
  • Shareholder Breach of Fiduciary Duty Recovery.  Obtained $320,000 arbitration award for closely-held limited liability company on breach of fiduciary duty claim against owner.  Client recovered virtually all damages sought, and Arbitrator ordered defendant-owner to pay all of Client's attorneys' fees and arbitration expenses, 2017
  • Shareholder Litigation.  Along with Richard Ostlund, obtained a $24 million award, including interest and fees, from a Hennepin County Court in a shareholder deadlock/oppression case, 2005
  • Shareholder Settlements In numerous shareholder disputes, successfully negotiated favorable stock buy-outs for client shareholders.  Examples over the last several years include:  seven-figure buy-out of shareholder in distribution company; high six-figure buy-out of shareholder in small manufacturing business; seven figure buy-out of shareholder in manufacturing company; seven-figure buy-out of technology company shareholder; six-figure buy-out of shareholder in construction services company.
  • Contract Litigation.  Obtained $13+ million dollar settlement in favor of a Minnesota-based consulting services firm responsible for storm disaster recovery efforts following the devastation of Hurrican Sandy against the State of New York and another contractor, 2016
  • Minority Shareholder Trial.  Following 8-day trial, obtained judgment in 2018 of over $850,000 for radiololgist, a shareholder in a local medical practice, who was terminated from his position and forced to give up his ownership interest in the company.  The judgment was affirmed in all respects by the Minnesota Court of Appeals in 2019., 2019
