As a co-founder of Avisen Legal, I'm passionate about helping entrepreneurs and businesses navigate the complexities of the legal world with minimal stress. I focus on providing practical, results-oriented advice to clients in a variety of industries, with a special emphasis on renewable energy and sustainability.
For over 25 years, I've had the privilege of working with a diverse range of clients, from startups to established companies, on a wide array of legal matters. My practice is centered on helping businesses grow and thrive, whether that involves:
- Securities/Corporate Finance: I work with startups, growing companies and entrepreneurs on angel financing, venture capital and other capital markets. We also work with growing and established companies on expansion and infrastructure project financing.
Renewable Energy: I have a deep understanding of the renewable energy sector and have worked on numerous project development and financing deals. I assist clients with everything from infrastructure fund investments, technology licensing and key agreements to debt financing.
Corporate Law: I act as outside general counsel for many of my clients, assisting with everything from formation and contract negotiations.
Mergers & Acquisitions: I've guided clients through multimillion-dollar M&A transactions, helping them to buy or sell companies and achieve their strategic goals. We work with entrepreneurs seeking to acquire companies (Entrepreneurship through Acquisition) as well as family offices and private equity funds to acquire businesses that fit.
I'm committed to providing personalized and dedicated support to each of my clients. I take the time to understand their unique needs and challenges, and I work tirelessly to help them achieve their goals. I get a lot of satisfaction from helping people solve problems and seeing their businesses succeed.
I earned my Juris Doctor from William Mitchell College of Law (now Mitchell Hamline School of Law) and am an active member of the legal community. I've published several articles and have been a featured speaker at numerous legal seminars.

- 75F, Inc is an award-winning building efficiency technology company. Todd worked with the founder since the beginning of the company, helping him grow the company. Todd helped the company raise seed and venture capital investments from some of the biggest and most recognizable names in technology and venture investing., 2025
- Trenton Biogas, LLC is a Delaware waste to biogas company that Todd helped form, create an investment JV with a large infrastructure private equity firm, multiple Qualified Opportunity Zone investors, a NYC family office and loans from a sustainability lender and a foreign sovereign wealth fund. Todd serves as project development and outside general counsel on all matters ranging from construction and other key agreements., 2025
- iterro, inc. is a Minnesota based sustainable biomedical component and acquaculture company with products ranging from medical grade chitosan, high grade pet food to ultra premium shrimp. Todd formed the company after they couldn’t get the service they wanted from one of the larger Minnesota law firms. Todd has helped them build their pilot facility, hire leadership, technical and administrative staff, guide the board and raise over $60 million since formation., 2025
Transactions
- Represented 75F in a $25 million Series B preferred stock offering to multiple large, multi-national Venture Capital and Infrastructure funds. Prior to this, represented 75F in its Series A preferred stock offering and all prior offerings as outside general counsel., 2024
- Represented industrial supply chain company in a sale of the business to a large private equity group. Client had locations in 19 states and over 200 employees. Helped with the LOI, due diligence, negotiation of the purchase agreements, employment and equity roll-over agreements for certain founders and key employees. $21 million transaction., 2021
- Represented Venture Capital lead investor in a $15 million Series A preferred stock offering, including negotiating NVCA documents and performing due diligence for the investment group., 2024
- Represented Board of Directors and Chairman of the Board of a NY based public company in a SPAC transaction, including evaluation of the SPAC merger and strategic alternatives. , 2024
- Represented Sevana Bioenergy in acquisition of the largest food waste biodigester facility in the United States. Provided key due diligence and contract review and negotiation related to acquisition and continue to provide ongoing legal support for both Sevana and the operating subsidiary., 2024
