    Meagan M. Reda is an partner in Olshan Frome Wolosky LLP’s Corporate/Securities practice (which encompasses Mergers & Acquisitions) as part of the firm’s Activist & Equity Investment practice.  Meagan's practice is unique as part of the Activist group, and places her opposite some of the biggest corporate law firms, focusing on shareholder activism and proxy contests, as well as mergers and acquisitions and corporate governance. 

    Meagan joined Olshan after earning her J.D. at Fordham University School of Law in 2011, where she was a member of the Fordham Urban Law Journal, was a Ruth Whitehead Whaley Scholar and was awarded The Archibald R. Murray Public Service Award.  Unlike most of her peers at larger law firms, she hit the ground running, and in February 2012 alone, was thrown into the thick of the successful negotiation of a settlement by Olshan’s client Starboard Value LP with paper products company Wausau Paper AND Starboard Value’s nomination of candidates for election to AOL’s Board of Directors, as one AOL’s largest shareholders. 

    From then on, Meagan has been an integral part of this headline making team of lawyers, representing and providing strategic guidance to hedge funds and other investors in matters concerning shareholders activism, proxy contests, mergers and acquisitions, corporate governance and other related matters.

    Meagan has worked on many of the most significant activist matters, including representing Starboard Value in its successful and historic 2014 proxy contest at Darden Restaurants for all twelve board seats and representation of H Partners in a successful and unprecedented withhold campaign victory against Tempur Sealy in 2015.

    • Steve Wolosky contributed an article entitled “The Role of Activist Funds: Lessons Learned From Darden” for the recent edition of UCLA’s 2015 Private Fund Report: The Role of Activist Funds published by the Lowell Milken Institute for Business and Law Policy. The article details the 2014 ground-breaking proxy battle successfully waged by client Starboard Value to replace the entire board of directors of Darden Restaurants, Inc.     Representative Clients:

    • Represented Land & Buildings in connection with its investment and successful proxy contest at Taubman Centers. Jonathan Litt, Founder and Chief Investment Officer of Land & Buildings, was elected to Taubman Centers’ Board at the 2018 Annual Meeting to replace long-standing incumbent director William Taubman.  Land & Buildings initiated its campaign at Taubman Centers in 2016, but was met with resistance along the way due to Taubman Centers’ dual-class voting stock structure, which concentrates ~30% of the voting power to the Taubman Family., 2018
    • Delaware Vice Chancellor J. Travis Laster ruled in favor of Olshan client Stilwell Value by awarding over $600k in legal fees in connection with a complaint brought against HopFed Bancorp Inc. The complaint accused HopFed of adopting irrational and overbroad rules disqualifying from director service anyone sanctioned by financial regulators as well as qualified independent candidates nominated by sanctioned investors. HopFed was also accused of using its share repurchase power to eliminate the company’s second-largest independent investor and of developing an employee stock ownership plan that  created a pro-management voting block. , 2018
    • Represented Sierra Capital in connection with its investment in Safeguard. Pursuant to the agreement, two new independent directors, Russell D. Glass and Ira M. Lubert, have been appointed to the Board of Directors., 2018
