Focusing her practice primarily on estate and tax planning, Dawn Hallman is the founder of Hallman & Associates, P.C. The firm maintains offices in Norman, Edmond and Dallas.  Ms. Hallman has been admitted to practice before all Oklahoma state courts since 2000.

When tax planning for closely held businesses, Ms. Hallman utilizes creative strategies, such as deferred sales trusts (DST), for the sale of highly appreciated real estate, minerals or a closely held business. Minimizing or eliminating estate taxes for ultra-high net worth clients is an integral part of her practice.

In her estate planning practice, Ms. Hallman prepares and reviews revocable and irrevocable trusts, financial and health care powers of attorney, and advance medical directives. Ms. Hallman tailors each plan to meet the particular objectives of her clients, often with a view toward protecting assets, avoiding probate, and minimizing the effect of income taxes, federal estate and gift taxes. Ms. Hallman has substantial probate and estate administration experience, including guiding executors and heirs through what can often be a lengthy and complicated probate process. The firm also assists with trust administration issues for the successor trustees and trust beneficiaries.

Ms. Hallman's background also includes business planning. She advises entrepreneurs as to the most appropriate form of legal entity for their new venture, and once it has been formed, she assists them with tax minimization, asset protection, and succession planning in the event of the owner's retirement, incapacity or death. Ms. Hallman has received a great deal of recognition from her fellow attorneys for her high degree of ethics and the overall quality of her work. Her honors have included an AV Preeminent* peer review rating through Martindale-Hubbell and a 10.0 "Superb" peer review rating through Avvo. In addition, Ms. Hallman has also been named to The National Advocates: Top 100. She was also named American Cancer Society's National Professional Advisor of the Year.

Ms. Hallman has served as Chairman for the Estate Planning, Probate and Trust Section of the Oklahoma Bar Association. She is currently serving on American Cancer Society’s National Gift Planning Advisor Council, and as the Board of Directors' Vice-Chairman for both Washita State Bank and Frontier State Bank.

Ms. Hallman is frequently asked to deliver her dynamite lectures on topics related to her practice areas to groups of attorneys as well as other professionals. A 1997 recipient of a Bachelor of Business Administration from The University of Oklahoma, she obtained her legal education at The University of Oklahoma College of Law and was awarded her Juris Doctor in 2000.

  • Deferred Sales Trust - What's All the Hype? (2019) - An emerging alternative to the §1031 exchange,1 wherein the taxpayer has the opportunity to defer the gain on a sale, is a deferred sales trust (DST). Unlike a §1031 exchange, a DST does not require the taxpayer to reinvest in like-kind replacement property and is not subject to the timeline restrictions of a §1031 exchange.2 In short, a DST is an irrevocable trust that utilizes the installment sale treatment under the Internal Revenue Code (IRC) §453 in order to defer the taxes due on the sale of a business, real estate or other taxable assets. The grantor sells the asset to the DST in exchange for a promissory note or deferred installment contract. The DST then owns and controls the asset until it is sold to another third-party for the full sales price. Then, the proceeds of the sale are used to pay the grantor under the promissory note or deferred installment contract
