- Municipal entities are increasingly recognizing their ability to influence social change through demanding better corporate governance from the companies in which they invest as they may not only seek recovery of losses due to securities fraud, but can also propel social objectives via shareholder derivative matters in which a municipal entity who holds relevant securities can investigate a company and its board, and even bring litigation, for potential wrongdoing, mismanagement, and breaches of fiduciary duties for activities related to systemic racial and gender inequality and more., Author, Shareholder Litigation in the Age of Financial and Social Responsibility, International Municipal Lawyers Association (IMLA), Municipal Government, 2021
- In securities class actions, plaintiffs bring a suit as a class seeking compensation from defendants for damages resulting from a loss in a stock’s value. Often, the same core underlying facts that support a securities class action can give rise to a shareholder derivative lawsuit in which shareholders sue corporate executives and their board on behalf of the company itself, seeking damages to be returned to the corporate entity as well as corporate governance reforms. In each instance, municipal entities often take the role of lead litigant. Recently, shareholder derivative cases have brought about meaningful governance reforms in the wake of social, environmental and public health wrongs. Institutional investors, such as municipal entities, have played a significant role in bringing these settlements to fruition., Author, Shareholder Litigation In The Age Of Financial And Social Responsibility, ELGL.org - Engaging Local Government Leaders, Municipal Government, 2021
- In an increasingly demanding financial environment, it is paramount that municipal and educational institutional entities have an affirmative platform that proactively identifies and monitors class action litigation and settlement fund recovery opportunities. While the financial and time constraints incumbent upon most legal departments invariably force those departments to focus on their core functions – managing risk, defending against litigation, and putting out the daily fires that come with departmental responsibilities, a proactive monitoring and recovery platform can turn legal departments from costs centers to revenue generators – revenue that is often tax-free. Engaging Local Government Leaders (ELGL) is a professional association with over 4800 members from all 50 states, Canada, UK, Israel, and Australia which focuses on all levels of local government. ELGL’s mission is to engage the brightest minds in local government by providing timely and relevant content through podcasts, blogs, webinars, social media and conference gathering, with the objective of fostering authentic and meaningful connections that are grounded in practices of equity and inclusion. , Author, “MUNICIPAL REVENUE AND SOCIAL JUSTICE GENERATOR FOR LOCAL GOVS”, ELGL.org - Engaging Local Government Leaders, Municipal Government, 2020
