Patrick R. Lamb

Patrick R. Lamb is a managing shareholder at Carney Badley Spellman, P.S., in Seattle, Washington, where he also serves as chair of the firm’s Mergers and Acquisitions Practice Group and as a member of the firm’s board of directors. His practice centers on corporate transactions and business law, with a strong emphasis on mergers and acquisitions, commercial lending matters and complex business agreements.

Mr. Lamb regularly advises companies on sophisticated corporate transactions, including the purchase and sale of businesses. He also assists clients with structuring and negotiating shareholder agreements, limited liability company agreements, joint venture arrangements and various supply, service, licensing and distribution agreements.

In addition to transactional work, Mr. Lamb serves as outside general counsel to a number of middle-market privately held businesses. In this role, he provides strategic legal guidance on a broad range of operational and governance matters, helping business owners address legal issues that arise throughout the life of their companies. His approach combines careful legal analysis with a practical understanding of the business considerations that influence corporate decision-making. By maintaining long-term relationships with his clients, he is able to offer advice that supports both their immediate needs and long-term business goals.

Mr. Lamb earned his Juris Doctor, cum laude, from the University of Puget Sound School of Law (now Seattle University School of Law). During law school, he served as an associate editor of the University of Puget Sound Law Review. He received his Bachelor of Arts, cum laude, from Washington State University as part of the university’s honors program.

Mr. Lamb’s work in corporate law and mergers and acquisitions has earned him significant professional recognition. He has been named among Seattle’s Top Business Lawyers by Seattle Business Magazine and Seattle Metropolitan Magazine, and has also been recognized by Best Lawyers and the Legal 500 for his work in mergers and acquisitions. He is admitted to practice in the state of Washington and before the U.S. District Court for the Western District of Washington. He is also a member of the Washington State Bar Association, the King County Bar Association and the Association for Corporate Growth.
